Effective Date: September 16, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the language instruction, tutoring, classes, training, and related services provided by BellaLingua Canada Ltd. (“BellaLingua Canada Ltd.”, “we”, “us”, or “our”), including private Italian lessons, small group Italian classes, online Italian tutoring, conversation practice sessions, beginner to advanced language programs, Italian for travel and relocation, and corporate Italian language training (collectively, the “Services”).
By booking, accessing, purchasing, attending, or otherwise using any of the Services, you agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not use the Services.
If you are using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to “you” will include that entity.
2. Scope of Services
BellaLingua Canada Ltd. provides educational and instructional services focused on Italian language learning. The Services may be delivered in person, online, or through a hybrid format, depending on the program selected.
- Private Italian lessons: one-on-one instruction tailored to the learner’s goals and pace.
- Small group Italian classes: instruction delivered to a limited number of participants.
- Online Italian tutoring: remote sessions conducted via approved video conferencing or other online platforms.
- Conversation practice sessions: guided speaking practice designed to improve fluency and confidence.
- Beginner to advanced language programs: structured courses for learners at various proficiency levels.
- Italian for travel and relocation: practical language training for travel, settlement, and everyday communication.
- Corporate Italian language training: customized language instruction for businesses and professional teams.
We may modify the format, schedule, instructors, curriculum, or delivery method of the Services where reasonably necessary, including for pedagogical, operational, health, safety, technical, or legal reasons.
We do not guarantee any specific learning outcome, fluency level, certification result, immigration outcome, business outcome, or employment-related outcome.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information when registering, booking, or communicating with us.
- Attend sessions on time and prepared, and ensure that any technology used for online Services is functioning properly.
- Maintain respectful, lawful, and appropriate conduct toward instructors, staff, and other participants.
- Not disrupt classes, harass, abuse, threaten, discriminate against, or otherwise mistreat any person involved in the Services.
- Use the Services only for lawful purposes and in compliance with these Terms and all applicable laws.
- Keep login credentials, access links, and account details confidential where applicable.
- Refrain from recording, reproducing, distributing, or sharing lessons or materials unless expressly authorized in writing by BellaLingua Canada Ltd.
You are responsible for any costs associated with your equipment, internet service, software, and connectivity required to participate in online Services.
We reserve the right to remove or suspend any participant who violates these Terms, engages in abusive conduct, or interferes with the safety, integrity, or effectiveness of the Services, without refund where permitted by law and subject to the applicable cancellation policy.
4. Payment Terms and Conditions
Fees for the Services will be communicated at the time of booking, enrollment, proposal, or contract execution, as applicable. All fees are payable in Canadian dollars unless otherwise stated.
- Payment must be made in advance unless we agree otherwise in writing.
- We may require deposits, installment payments, or full prepayment for certain Services.
- Corporate clients may be subject to separate invoicing terms set out in a written agreement or proposal.
- Failure to pay when due may result in suspension or cancellation of Services.
- You are responsible for any applicable taxes, including GST/HST, unless explicitly stated otherwise.
If a payment is declined, reversed, charged back, or otherwise not received, we may charge administrative fees and/or suspend access to the Services until the outstanding balance is paid in full, to the extent permitted by law.
We may change our prices at any time; however, price changes will not affect Services already paid for, except where required by law or expressly stated in a written agreement.
5. Cancellation and Refund Policy
Because scheduling and instructor availability are managed in advance, cancellations and refunds are subject to the following policy unless a different written agreement applies:
- Private lessons and tutoring: A minimum of 24 hours’ notice is required to cancel or reschedule a session without charge. Late cancellations or no-shows may be charged in full.
- Small group classes and programs: Enrolment fees may be non-refundable once the program begins. Missed classes are generally not eligible for refunds or make-up sessions unless expressly offered by BellaLingua Canada Ltd.
- Online sessions: You must ensure your device, internet connection, and software are ready at the scheduled time. Technical issues on your side do not automatically entitle you to a refund or rescheduling, though we may do so at our discretion.
- Corporate training: Cancellation terms may be set out in a service agreement or invoice. If no separate terms apply, a minimum of 5 business days’ written notice is required for cancellation or rescheduling of corporate sessions.
Refunds, if any, will be issued only in accordance with these Terms, any applicable written agreement, and applicable consumer protection laws. Where a refund is approved, it may be reduced by any non-recoverable costs already incurred, to the extent permitted by law.
Nothing in these Terms limits any non-waivable rights you may have under applicable Canadian consumer protection laws.
6. Liability Limitations
To the fullest extent permitted by law, BellaLingua Canada Ltd., including its directors, officers, employees, contractors, instructors, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, loss of data, loss of business opportunity, or reputational harm arising out of or relating to the Services or these Terms.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount paid by you for the specific Service giving rise to the claim in the 3 months preceding the event giving rise to liability, or CAD $100, whichever is greater, unless a different limitation is prohibited by law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that cannot lawfully be limited.
The Services are educational in nature. We make no guarantees regarding linguistic proficiency, academic performance, travel outcomes, relocation success, business results, or any third-party approvals or decisions.

- You may not remove copyright notices or proprietary markings.
- Any unauthorized use may result in termination of access and legal action.
If you submit suggestions, feedback, or other content to us, you grant BellaLingua Canada Ltd. a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and incorporate such feedback for business and service improvement purposes, without obligation to you, to the extent permitted by law.

Where personal information is transferred outside Canada for processing by service providers, it may be subject to the laws of those jurisdictions. We take reasonable measures to protect personal information, but no method of transmission or storage is entirely secure.

In such circumstances, we may suspend, reschedule, modify, or cancel Services without liability, except for obligations that are expressly required by law or are otherwise non-waivable.
10. Changes to Terms
We may update, amend, or replace these Terms from time to time to reflect changes in our Services, legal obligations, or business practices. The updated Terms will be effective on the date stated at the top of the document or as otherwise communicated.
If we make material changes, we will provide reasonable notice where practicable, for example by email, website notice, or other reasonable means. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the Services, or your use of the Services will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts located in Ottawa, Ontario, shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the Services, subject to any mandatory consumer protection rights or other non-waivable legal rights that apply to you.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, unenforceable, or contrary to applicable law by a court or competent authority, that provision will be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Any failure by BellaLingua Canada Ltd. to enforce any right or provision under these Terms will not constitute a waiver of such right or provision unless acknowledged in writing by BellaLingua Canada Ltd.
These Terms constitute the entire agreement between you and BellaLingua Canada Ltd. regarding the Services, unless replaced or supplemented by a separate written agreement signed by both parties.
